Terms and Conditions
Terms of Use for the E-Commerce Platform
The following provisions (hereinafter referred to as "Terms and Conditions") apply to the use of the e-commerce platform (hereinafter referred to as "Platform") and all platform-based transactions.
Section 1 – Access to the Platform
- The Platform is hosted by Konica Minolta Business Solutions Europe GmbH, Europaallee 17, 30855 Langenhagen, Germany (the host provider).
- The Platform is managed in each country by the Konica Minolta group, as specified in the respective imprint (the service provider).
- The Platform is exclusively reserved for the use of Konica Minolta's current distributors, dealers, and end customers (collectively referred to as "Customers").
- The Platform is available free of charge unless otherwise stated. Any expenses or other costs arising from or related to the use of the Platform (i.e., for internet usage, self-administration, or the purchase of necessary hardware or software) are borne by the customer.
- Konica Minolta reserves the right to terminate or modify the services provided by the Platform, in whole or in part, at any time and at its sole discretion.
- Konica Minolta cannot be held liable for the unavailability of the Platform or any part thereof at any time, regardless of the reason or duration.
Section 2 – Use of the Platform
- Upon request, Konica Minolta will provide the customer with the access data necessary to use the Platform. The request must be sent to the Konica Minolta operating company with which the customer has a contractual relationship.
- Konica Minolta may refuse, temporarily suspend/block, or revoke access to the Platform at its sole discretion.
- Konica Minolta's end customers are not entitled to distribute the products and services that can be purchased via the Platform. They may only use the products and services for internal or department-related purposes.
- The customer is solely responsible for securely storing their access information (e.g., passwords and/or other account IDs). The customer must immediately inform the Konica Minolta operating company of any unauthorized use of the access data or account.
- The customer is bound by any order placed via the Platform using their access data and is solely responsible for all activities conducted on their account.
Section 3 – Terms and Conditions for Orders and Transactions
- The presentation of products and services that can be ordered via the Platform does not constitute a legally binding offer but rather a non-binding online catalog. By clicking the order button, the customer submits a binding offer for the items in the shopping cart.
- When the customer receives an (electronic) order confirmation from Konica Minolta (not just an acknowledgment of receipt!), the binding offer becomes a legally binding contract.
- The contract is subject to the contractual agreements and rules existing between the Konica Minolta operating company and the respective customer. Unless such contractual agreements and rules contain specific provisions, the provisions of the law specified in the agreement apply.
Section 4 – Final Provisions
- Konica Minolta reserves the right, at its sole discretion, to modify, revise, add to, or remove any part of these terms and conditions from time to time. In the event of changes, the terms and conditions applicable to the customer at the time of the order shall apply.
- These terms and conditions and any questions regarding their validity, content, and implementation are subject to the law specified by the customer and the respective Konica Minolta company in their pre-existing contractual relationship.
- If any provision of these terms and conditions is invalid or unenforceable, the remaining provisions or the remaining part of the provision shall continue to be valid. Any such invalid provision shall be replaced by another provision that fulfills the purpose of the original provision as well as these terms and conditions.
